AGREEMENT
between Burlakov Michael (further — Founder of IT AC DTIP or FT) and <...>
(further — Applicant for the role of a monopoly implementer of IT AC DTIP or ARMI)
on searching for business partners for joint development with them of an Installation software package (further — ISP) on implementation of IT AC DTIP in a specific application area
1. Duration of Agreement
1.1. This Agreement comes into force on the day it is signed by the parties and is valid for <...> days, unless it is terminated early by the ARMI party (see clause 4 below).
2. Obligations of FT
2.1. FT undertakes to grant ARMI, during the term of Agreement, the exclusive right to search on his behalf for the following three legal entities: 1) a business partner from the application area (in short — BPAA), 2) a software development company (in short — SDC) and 3) a venture investor (in short — VI) with the aim of jointly developing with them the ISP for its widespread implementation throughout the world in this application area, based on the already created by FT optimizing and other software and information means related to this area.
2.2. FT FT undertakes to provide ARMI free of charge one set of the optimization program <...> created by him for this application area, with its binding to the technical parameters of the computer on which it will be installed. The term for transfer by FT of this program to ARMI is no more than three days from the moment ARMI provides him with its serial number for the above computer, read by the GPSN.exe utility, the file of which can be downloaded here.
2.3. FT undertakes to provide prompt remote consultation to ARMI, should he require it, during the latter's negotiations with potential BPAAs, SDCs and VIs.
2.4. FT undertakes to immediately proceed to the stage of preparation for signing by the parties a Contract on the joint development of ISP in this application area, subject to ARMI's full execution of one's obligations under this Agreement, as well as finding by him of BPAA, SDC and VI. 3. Obligations of ARMI
3.1. ARMI undertakes to search for BPAA, SDC and VI worldwide among companies, organizations and individuals in the order and at the addresses that he should agree with the FT.
3.2. ARMI undertakes to prepare and coordinate with FT the texts of business letters that will be sent to potential BPAA, SDC and VI.
3.3. ARMI undertakes to take from the BPAA, which will be found by him, its written proposals on the technical characteristics of the future ISP (including at the place of its first implementation at BPAA), as well as its written obligation to provide to the team of developers of ISP the necessary information for its future docking with existing software of BPAA.
3.4. ARMI undertakes to obtain written consent from BPAA, SDC and VI, which will be found by him, for their participation in the joint development of ISP, while agreeing with them on a draft Contract for such development, a sample of which is published here.
3.5. ARMI undertakes to make FT aware of the search results of BPAA, SDC and VI before the end of the term of this Agreement.
4. Terms of early termination of Agreement
4.1. Agreement can be terminated early only by the ARMI party, of which it must notify immediately in writing the FT party and provide it with a report on the work performed.
