CONTRACT

 between Michael Burlakov (further — Founder of IT AC DTIP or FT),
<...> (further — Implementer of IT AC DTIP or IT), <...> (further — business partner
in application areas or BPAA) and <...> (further — investor or IN)
on joint development of ISP (see below)

 

1. Duration of Contract

1.1. This Contract comes into force from the date of its signing by the parties and ends with the signing bythem of the Act on the commissioning of the installation software package (in short - ISP) developed within it for the worldwide implementation of IT AC DTIP in the application area "<...> "according to the Terms of reference attached to it (its sample is missing here).

2. Joint obligations of the Contract parties

2.1. Only the parties of Contract have property rights to the ISP, which will be developed under it.

2.2. The share distribution of profit between the Contract parties from the implementation of this ISP and subsequent its derivatives of the same purpose, which will be developed in the future, is: for FT <...>%, for IT <...>%, for BPAA <...>%, for IN <...>%.

3. Obligations of FT

3.1. Development of that part of the Terms of reference on the creation of ISP, which relates to the optimization of discrete processes for this application area.

3.2. Scientific guidance of ISP development.

3.3. Development of a mathematical model and algorithms for the numerical optimization of discrete processes for the being created ISP.

3.4. Operational consultation of ISP developers.

3.5. Transferring to ISP developers of all optimizing and other programs available to FT, their texts, as well as practical developments and links to his publications related to this application area.

4. Obligations of IT

4.1. Development of that part of the Terms of reference on the creation of ISP, which relates its practical exploitation.

4.2. Practical guidance on ISP development, including the following responsibilities:

1) selection of the team of ISP developers, organization of their work and responsibility for its high-quality and timely performance by these persons;

2) protection of the being created ISP from unauthorized interference of third parties and from any leaks to the side of information about it.

5. Obligations of BPAA

5.1. Development of that part of the Terms of reference on the creation of ISP, which is directly related to this application area, as well as docking of ISP with existing software and information tools used in this area.

5.2. Providing all the necessary information about this application area, as well as about those existing software and information tools that are used in it in relation to the discrete processes considered here.

5.3. Providing a production site for debugging and testing of the being developed ISP in the process of its creation and trial operation.

6. Obligations of IN

6.1. Financing the ISP development process and its trial operation, as well as an advertising company for its widespread implementation around the world.

7. Conditions for early withdrawal from Contract of one of its parties

7.1. Any party of the Contract may withdraw from it on its own initiative, if at that will give its written obligations to the remaining Contract parties about the non-disclosure of information that it possesses relating to the development process of the ISP considered here. At that, the paragraph 2.2 of Contract is amended by other parties in the direction of reducing the share of profit for the party leaving the Contract.
